Terms of Service

1. Who this is between
These Terms govern the agreement between you ("Customer") and Gwinto ("Gwinto Cloud", "we", "us") for use of the Gwinto Cloud platform (the "Service").
By creating an account, signing an order form, or otherwise using the Service, you agree to these Terms.
2. What we provide
Access to the Gwinto Cloud platform — a managed cloud on which African businesses and entrepreneurs deploy and run business software, including:
- Hosting and management of applications such as Reava Pay payments,
e-commerce storefronts, the Gwinto Household System, email, AI tools, and custom apps
- An account dashboard to provision, configure, and monitor services
- Integrations selected at sign-up
- An in-platform support inbox
- Backups, monitoring, and patching of the platform
What we do not provide unless explicitly contracted:
- End-user hardware (devices, printers, point-of-sale terminals, etc.)
- Third-party accounts (e.g. payment-provider or domain accounts stay
yours)
- Migration of legacy data (available as a paid one-off line item)
3. Subscription, billing, and termination
- Subscriptions are monthly unless otherwise agreed in an order form.
- Pricing and overage rates are published on [/pricing](/pricing) and
billed in Kenyan Shillings (KES).
- Invoices are issued on the first business day of the following
month and are due within 30 calendar days (the "grace period").
- Either party may terminate for convenience at any time with
written notice; service ends at the close of the then-current cycle.
- We may suspend (not delete) the service if an invoice goes
unpaid 30 days past the grace period after written reminders.
4. Your data
- You retain all rights, title, and interest in any data you
upload to the Service ("Customer Data").
- We process Customer Data only to provide the Service and per the
Data Processing Agreement at [/legal/dpa](/legal/dpa).
- We will never sell Customer Data. We do not train AI models on
Customer Data without an explicit per-tenant opt-in.
- You can export Customer Data in CSV / JSON at any time from the
dashboard. After termination, we retain Customer Data for 30 days for export, then permanently delete it.
5. Acceptable use
You agree to use the Service in line with the Acceptable Use Policy at [/legal/acceptable-use](/legal/acceptable-use). Briefly: no illegal goods or services, no harm to others, no attacks on our infrastructure, no abuse of our team.
6. Service levels
Service levels per pricing tier are published at [/legal/sla](/legal/sla) and form part of this agreement.
7. Liability
To the maximum extent permitted by law, our aggregate liability for any claim arising under these Terms is limited to the fees you paid in the twelve months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
This clause does not limit liability for fraud, gross negligence, or harm to life and limb.
8. Changes
We may change these Terms with at least 30 days' written notice. If the change materially reduces your rights, you may terminate the agreement before the change takes effect without penalty.
9. Governing law
These Terms are governed by the laws of the Republic of Kenya without regard to conflict of laws principles. Disputes are subject to the exclusive jurisdiction of the courts of Kenya.
